1B. Board Officers:
1B.1 Officers are appointed by the Board, and all Offices are held at the Board’s discretion.
1B.2 Board Officers oversee certain responsibilities, tasks and duties that are part of the operational running of Church. On that basis the Board designs and delegates the scope of operational authority of Officers and Committees.
1B.3 Following the Annual General Meeting of the Corporation, at its first meeting, the Board shall appoint from among the Directors the following Mandatory directorships: a Chair, A President, a Treasurer, and a Secretary. The office of President and Chair may be held by the same person. The office of Treasurer and Secretary may be held by the same person and may be known as the Secretary-Treasurer. The roles of the Offices of Chair, President, Secretary, and Treasurer will be as described in the Attachments. The Board may modify and augment those role descriptions over time, as it deems necessary or beneficial to the effective operation of the Corporation.
1B.4 The Board may further appoint such other Officers and agents as it deems necessary, who shall have such operational responsibility and authority, and shall perform such duties as the Board may prescribe from time to time.
1B.5 Each Officer is responsible to the Board and will report to and coordinate with the Board as needed; and as directed by the Board.
1B.6 Other than the Officer positions identified in 1B.3, no Board member shall hold more than one Officer position. The Board may at times decide to amalgamate more than one Officer position, into a single Board person and single role mandate. The Board may also, at its discretion, decide to eliminate an Officer position, create another Officer position, or reassign an Officer position to another Board member.
1C. Committees:
1C.1 Subject to the limitations on delegation set out in the Act, the Board may establish any committee it determines necessary for the execution of the Board’s responsibilities, and the operation of the Church and its activities.
1C.2 Committees will always operate under and at the discretion of the Board. The Board shall determine the terms of reference, authority, and composition for any such committee and the Board may dissolve or modify any committee at any time.
1C.3 One Director will be assigned by the Board to lead, coordinate, and facilitate each Committee in relation to its defined purposes. That Director will be responsible for ensuring that there is a record of the Committee’s activities and outcomes over time and will report back to and coordinate with the Board as the Board requires.
1C.4 Consistent with the Board’s design, a Board Committee may include any number of Directors, and/or any number of Church Members or Community Volunteers. Roles and responsibilities for these will all be defined per section 1C.2.
1C.5 The Board may appoint from their number an Executive Committee, and may delegate to this committee any of the powers to the Directors excepting those powers set out in the Act that are not permitted to be delegated. Such a committee would include the Mandatory Officers, and as many others as determined by the Board. The Board will establish and maintain terms of reference and defined scopes of authority and responsibility for this Committee. The Executive Committee will routinely report to Board; as needed will collaborate with the Board; and will operate at all times at the discretion of the Board.
